We are very happy that YOU chose the Urbily Platform!

The Urbily Platform provides, in a software as a service (SaaS) format, a tool for buying, selling, and renting properties, through its website and its subdomains.

Therefore, we have created these Terms, which will regulate the relationship for using the Platform, allowing YOU to access Urbily's functionalities, made available via the Internet for certain connected devices, such as computers, mobile devices, and/or other compatible devices ("Compatible Devices").

By using the Platform, YOU are agreeing to these Terms. Therefore, it is important that YOU read them very carefully.

Chapter I - GENERAL CONDITIONS

1.1. Scope. These General Terms and Conditions of Use (hereinafter referred to as "Terms" or "Terms of Use") bind all activities developed and services offered by Urbily (hereinafter referred to as such or simply "Platform"), which includes the website and its subdomains, applications, programs, and other extensions. The Platform is owned by Urbily and is under its responsibility and management.

1.2. Operation. The developed Platform is the exclusive property of Urbily and provides, in a software as a service (SaaS) format, access to its tool for buying, selling, and renting properties, through its website and its subdomains.

1.3. Possibility of Integration. Urbily may, at any time, integrate its Platform with others, and the User may use the same registration in each of them, if applicable and previously informed.

1.4. Subjects. The following may register on the platform:

a) User (YOU): a natural person, at least 18 (eighteen) years old and with full civil capacity, or a legal entity, duly constituted, who uses the functionalities of the Platform developed by Urbily.

1.5. Adherence and Acceptance. By this instrument, YOU agree that:

(i) You must accept Urbily's Terms for registration, access control, and platform improvements;

(ii) By clicking the acceptance box of the Terms, YOU must adhere to and agree to submit to the provisions of this instrument.

1.6. Violation of Conditions. If YOU fail to comply with any of the conditions provided herein, Urbily reserves the right to terminate your account and suspend or cancel your access to the Platform, without prior notice.

1.7. Modifications. Urbily reserves the right to, at any time, modify the Terms of Use, always by sending notices to YOU, for your knowledge, without any liability of Urbily due to any modifications made to the Platform, which will come into effect immediately after their online publication.

1.8. Changes and discontinuation. Urbily may, at any time, according to its business availability, change any aspect of the Platform, including its characteristics or functionalities, as well as suspend, cancel or discontinue it, in whole or in part, temporarily or permanently, at its sole discretion, by communicating to YOU, without this constituting a breach of these Terms, or a right to compensation or fine in your favor, except for the refund of any amounts that may have been paid in advance.

1.8.1. The Plan YOU choose will remain unchanged until its expiration date.

Chapter II - MODE OF USE

2.1. Registration. The Urbily Platform will be available to YOU through its website and subdomains. Upon accessing, YOU will register, providing the necessary information for use, such as: name, email, and password.

2.2. Dynamics. After YOU register, you will have access to the Urbily Platform, through login and password. There may be different usage plans (e.g., Free, Paid), with distinct functionalities and limits, as detailed on Urbily's plans/prices page.

2.2.1. Communication. Notifications and communication between YOU and Urbily will be primarily carried out via the email YOU registered. Additional channels may be offered depending on the contracted plan.

2.3. Incorrect Registration Information. To access and use the Platform's functionalities, YOU must provide the required information at the time of registration, as set forth in the Privacy Policy.

2.3.1. Refusal criteria. The Urbily Platform reserves the right to prevent, at its discretion, new registrations, or cancel existing ones, if an anomaly is detected that it considers, in its analysis, to be a serious error or demonstrates a deliberate attempt to circumvent the rules described herein, which are mandatory for all Users, without the User being reimbursed for any amounts already paid.

2.4. Use of Registration by Third Parties. Registrations on the Platform are individual and non-transferable, so YOU must immediately notify Urbily of any unauthorized use of your account, in a timely manner, and Urbily is not responsible for any losses or damages arising from the use of "login" and password by a third party, with or without your consent.

2.4.1. Precautions to be observed. For proper use of the Platform, YOU must:

(i) Be careful with your individual identification data whenever you access the Internet;

(ii) Take other necessary measures to protect yourself from harm, including online and offline fraud; and

(iii) Be diligent in the use of the content provided and the links created on the Urbily Platform, knowing your responsibilities; and

(iv) Strictly comply with all provisions of these Terms.

2.5. Limitations of Use. The license to use the Platform is granted in a limited, non-exclusive, non-transferable, and non-sublicensable manner, not assignable, in any way, to transfer totally or partially, under any modalities, free or onerous, temporary or permanently, the contracted services through these Terms, including accessing and using the functionalities for buying, selling, and renting properties, exclusively for personal or professional use related to your activity, without the purpose of reselling the service itself, and provided that the conditions set forth in these Terms are fully met.

2.5.1. Purpose. Thus, YOU may not use or allow the use of the Platform for any purpose other than that described in these Terms. It is expressly prohibited to use Urbily to carry out any transaction or promote any illegal, fraudulent, or malicious activity, or that violates the rights of third parties.

Chapter III - ACCESS AND FUNCTIONALITY RESTRICTIONS

3.1. Restrictions. It is not permitted to access restricted areas of the Platform, its database, or any other content that is protected by security measures. Any attempt to circumvent these restrictions may result in legal penalties.

Chapter IV - REMUNERATION AND CANCELLATION

4.1. Remuneration. For using the Platform in paid versions (if any), YOU may choose between the available plans (e.g., monthly, annual), making payment through the means indicated on the Platform.

Chapter V - EXCLUSION OF WARRANTIES

5.1. Availability. The Platform is offered "as is". Urbily will make reasonable efforts to keep the platform available, but does not guarantee that the services will be provided without interruptions or errors.

Chapter VI - LIMITATION OF LIABILITY

6.1. Responsibility. Urbily will not be responsible for any losses or damages suffered, resulting from technical failures or service interruptions, which are beyond the Platform's control.

Chapter VII - MAINTENANCE AND UPDATES

7.1. Maintenance. Urbily may perform scheduled maintenance, communicating with YOU whenever possible. Emergency interruptions may occur without prior notice.

Chapter VIII - GENERAL PROVISIONS

8.1. Improvement. YOU agree that every system is constantly evolving, and acknowledge that improvements may occur without prior notice.

Chapter IX - INTELLECTUAL PROPERTY

9.1. Intellectual Property. The content of the Platform is owned by Urbily and protected by intellectual property laws. Reproduction or use without authorization is prohibited.

Chapter X - FINAL CONDITIONS

10.1. Suspension and Cancellation. Urbily may suspend or cancel User access if it identifies a violation of the Terms of Use.
